Terms of Service

1. Acceptance of Terms
NPYou ("the Platform") is operated by Affiwi LLC ("Affiwi," "we," "us," or "our"). By creating an account on or using the Platform, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not create an account or use the Platform.
2. Description of Service
NPYou provides a web-based platform for nonprofit organizations, neighborhood planning units, and community groups to manage memberships, track meeting attendance, and conduct live and asynchronous voting. The Platform is provided "as is" and is intended to support organizational governance processes.
3. Account Registration
Authentication is managed by a third-party provider. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Each account must represent a single individual. You agree to provide accurate information during registration and to keep your profile information current.
4. User Responsibilities & Acceptable Use
You agree to:
- Provide accurate and truthful information when using the Platform
- Use the Platform only for lawful purposes related to organizational governance
- Not impersonate another person or misrepresent your identity or organizational role
- Not attempt to gain unauthorized access to other accounts, organizations, or Platform systems
- Not use automated tools, bots, or scripts to access the Platform without prior written permission
- Not upload, post, or transmit content that is unlawful, infringing, defamatory, harassing, or that violates the rights of others
- Not introduce malicious code or otherwise interfere with the operation, integrity, or security of the Platform
- Not use the Platform in violation of any applicable law or your organization's governing rules
5. Organizational Data
Organizations on NPYou are created and managed by their designated administrators. Organization administrators act as the data controllers for their organization's data, including member information, meeting records, and voting data. NPYou acts as the data processor, storing and processing this data on behalf of the organization according to the administrator's instructions and these Terms.
Administrators are responsible for ensuring they have appropriate authority and consent to manage their members' data on the Platform.
6. Voting Data & Privacy
The Platform records individual votes for audit and governance purposes. Depending on the type of item, a vote may be a yes / no / abstain response or a selection of one or more choices in a multiple-choice ballot. The following privacy controls are enforced:
- Live voting panels display aggregate tallies only. Individual votes are not shown during active voting.
- Per-voter audit data (who voted and how) is accessible only to organization administrators through a dedicated audit view. This supports governance accountability requirements common to nonprofit organizations.
- Members can view their own vote history at any time through their personal dashboard.
- Account deletion: when a user deletes their account, votes on closed polls are anonymized (the link between the vote and the user is removed) to preserve aggregate tallies. Votes on open polls are deleted.
7. Guest Check-In
Non-members may check in to meetings as guests by providing their name and email address, and may submit questions during a meeting where enabled. This information is recorded for the purpose of meeting attendance and participation and is associated with the specific meeting. Guest data is managed by the organization's administrators.
8. Subscriptions, Fees & Billing
Certain features of the Platform are offered under paid subscription plans, purchased on a per-organization basis; free plans are also available. By selecting a paid plan, the purchasing administrator agrees to the following:
- Fees, billing frequency (for example, monthly or annual), and included features are shown at the time of purchase. Unless stated otherwise, fees are in U.S. dollars and exclusive of applicable taxes, which are your responsibility.
- Subscriptions renew automatically at the end of each billing period at the then-current rate until cancelled. You authorize us and our payment processor to charge your payment method for each renewal.
- Payments are processed by a third-party payment processor. We do not store your full payment card details. Your use of payment features is also subject to the processor's terms.
- You may cancel a subscription at any time through your billing settings. Cancellation stops future renewals and takes effect at the end of the current billing period; you keep paid features until then.
- Except where required by law, fees already paid are non-refundable, including for partial billing periods and unused features.
- If a subscription ends, lapses, or a payment fails, the organization's access to paid features may be reduced to the free plan, and features or data that exceed free-plan limits may become unavailable until the plan is renewed. We will not delete your data solely because a subscription lapses, but access to it may be limited.
- We may change plan pricing or features. We will give you advance notice (for example, by email) before a price change takes effect. Any new price applies to your next billing period — if you do not agree to it, you may cancel before it takes effect; otherwise, continued use constitutes acceptance of the new pricing.
9. Intellectual Property & Feedback
The Platform and its associated branding, design, and software are the intellectual property of Affiwi LLC and its licensors. Content you create on the Platform (such as organization names, descriptions, poll titles, meeting details, and questions) remains yours. By using the Platform, you grant us a limited, non-exclusive license to store, display, process, and transmit your content as necessary to operate and provide the service.
If you send us feedback, suggestions, or ideas about the Platform, you agree that we may use them without restriction or any obligation to you.
10. Data Retention & Deletion
Your data is retained for as long as your account is active. You may delete your account at any time through the User Settings page. Upon deletion, we close your account and remove your personal information while keeping shared governance records in anonymized form:
- Your personal profile (name, email, phone, address) is removed and your account is closed; your memberships, notifications, and submitted feedback are deleted
- Votes on closed polls are anonymized to preserve aggregate tallies; votes on open polls are deleted
- Meeting attendance is retained in anonymized form to preserve organizations' historical quorum and records; support requests are retained with your name and email removed
- Organizations you created are not automatically deleted — transfer admin rights or delete the organization before deleting your account
Organization administrators may delete their organization, which permanently removes all associated data including member records, meetings, attendance, polls, and votes. Certain records, such as billing and transaction records, may be retained where required for tax, accounting, or legal-compliance purposes.
11. Termination & Suspension
You may stop using the Platform and delete your account at any time (see Data Retention & Deletion above). We may suspend or terminate your account or an organization's access, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms, used the Platform unlawfully or in a way that harms other users or the Platform, failed to pay applicable fees, or if we are required to do so by law. Where practical and appropriate, we will try to provide notice and an opportunity to resolve the issue first. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
12. Governance Disclaimer
The Platform provides tools to help organizations record attendance, conduct votes, and keep governance records. It is not a substitute for legal, professional, or parliamentary advice. We do not verify, and are not responsible for ensuring, that an organization's meetings, notices, quorum, voting procedures, eligibility rules, or outcomes comply with the organization's bylaws or with any applicable law. Each organization and its administrators are solely responsible for ensuring their governance processes and decisions are valid and lawful. We are not responsible for the validity, interpretation, or consequences of any vote, election, attendance record, or decision conducted or recorded using the Platform.
13. Service Availability
NPYou strives to maintain reliable service but does not guarantee uninterrupted availability. The Platform may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any loss or inconvenience caused by service interruptions.
14. Force Majeure
We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental action, power or internet failures, or failures of third-party service providers on which the Platform depends.
15. Disclaimer of Warranties
The Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Platform will be uninterrupted, error-free, secure, or that it will meet your specific requirements or those of your organization's governing rules. You use the Platform at your own risk.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Affiwi LLC and its operators, owners, and personnel shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or governance outcomes, arising out of or related to your use of (or inability to use) the Platform, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the total amount you paid us for the Platform in the twelve (12) months before the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
17. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Affiwi LLC and its operators, owners, and personnel from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: your content; your use of the Platform; your organization's governance decisions or handling of member data; your violation of these Terms; or your violation of any law or the rights of any third party.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, you will be asked to review and accept the updated Terms before continuing to use protected areas of the Platform. Your continued use after accepting updated Terms constitutes agreement to the changes.
19. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict of laws principles. Before filing any formal claim, you agree to first contact us at support@npyou.app and attempt in good faith to resolve the dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Georgia, and you consent to venue there.
20. General
These Terms and our Privacy Policy are the entire agreement between you and Affiwi LLC regarding the Platform and supersede any prior agreements on that subject. If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will stay in full force. Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms, for example in connection with a merger, acquisition, or sale of assets.
